The successful candidate will be responsible for supporting initiatives related to design, construction, infrastructure, and related procurement. The Corporate Counsel will provide legal support across the full lifecycle of data center development, including engineering, procurement, construction, and energy-related transactions and work closely with the entire global CyrusOne legal team.Responsibilities:Assist in drafting, reviewing, and negotiating agreements related to design, construction, and infrastructure development, including:Construction agreementsEngineering, procurement, and construction (EPC) agreementsDesign and consultant agreementsOwner’s representative, development, and other construction-related agreementsAssist in drafting, reviewing, and negotiating agreements related to power and energy procurement, including:Power purchase agreements (PPAs)Interconnection and transmission agreementsEquipment supply and generation agreementsDraft, review, and negotiate commercial agreements, including:Vendor and supplier agreementsMaster services agreementsConfidentiality agreements and letters of intentProvide legal support for procurement and sourcing initiatives, including:RFP processes and contract awardsSupplier onboarding and contract standardizationAdvise internal stakeholders on:Risk allocation in construction and energy agreementsPayment structures, performance obligations, and schedule risksPractical, business-oriented solutions to legal issuesMonitor and ensure compliance with agreements and support resolution of contract-related issuesSupport development and maintenance of:Standard templates and formsContracting playbooks and process improvementsCollaborate closely with internal business teams and external counsel to support ongoing projects and transactions
Qualifications
:4-8 years of experience in construction law or infrastructure projects (with energy law and/or commercial contracting as a plus)Experience drafting and negotiating complex commercial agreements, preferably including EPC, design, or energy-related agreementsExperience supporting large-scale development or infrastructure projects preferredStrong business judgment and ability to translate legal concepts into practical adviceExceptional multi-tasking skills, with the ability to prioritize and manage multiple active projectsAbility to work independently and collaborate across cross-functional teamsActive member of a state barEducation:Juris Doctor (JD) degree from an accredited law school.CyrusOne is an equal opportunity employer.
