Qualifications
- 5+ years of experience in commercial contract drafting, negotiation, or diligence review at a law firm or in-house setting. - Extensive background reviewing contracts in virtual data rooms during live M&A transactions (essential). - Deep familiarity with provisions governing deal risk such as change-of-control, assignment, and termination mechanics. - Experience conducting or managing diligence at a major firm or managed review context. - Strong written and verbal communication skills with the ability to explain complex legal risk clearly and precisely. - JD and active bar membership (or equivalent legal qualification in your jurisdiction). - Exposure to SaaS/technology commercial agreements and contract analytics tools (preferred but not required).
